Scope
These Terms of Use ("Terms") govern your access to parcse.com and its subdomains, including the License Manager (the "Website"), and your use of any software applications published by PARCSE, LLC ("Parcse", "we", "us", or "our"), including the apps listed on the Website (each, a "Product", and collectively, the "Products"). By accessing the Website or downloading, installing, or using any Product, you agree to these Terms. If you do not agree, do not use the Website or any Product.
Website Use
You may use the Website only for lawful personal and business purposes. You may not interfere with the operation of the Website, attempt to gain unauthorized access to it, or use site content in a manner that infringes our rights or the rights of others.
License
Each Product is licensed, not sold. Subject to these Terms and applicable law, Parcse grants you a limited, non-exclusive, non-transferable, revocable license to use the Product on devices you own or control and as otherwise permitted by the applicable usage rules.
If you accept these Terms on behalf of an organization, you confirm that you have authority to bind it, and "you" includes that organization. The organization may allow its employees and contractors to use a Product on Macs it owns or controls, or on Macs they use for its work, up to the number of Macs its license covers, and it is responsible for their compliance with these Terms.
Pricing, Purchases, and Refunds
Products may be offered under different pricing models, including free, time-limited trial, one-time purchase, or subscription. The applicable pricing, features, and limitations for each Product are described on the Website at the time of purchase.
- Free and Trial. Certain Products or features may be offered free of charge or with a time-limited trial. We reserve the right to modify, limit, or discontinue free or trial access at any time.
- One-Time Purchase. A one-time purchase grants you a perpetual license to the version of the Product available at the time of purchase. Access to future major versions may require a separate purchase.
Purchases. Purchases on the Website are sold through Link, a service of Stripe, which acts as the merchant of record for these purchases and handles payment, sales tax, VAT, and GST, receipts, and payment support. Your payment is also subject to the Link terms. Charges appear on your statement with the prefix LINK.COM. Prices may be shown in your local currency, and any tax is calculated at checkout. Parcse remains responsible for the Products, and these Terms govern your license. You agree to provide accurate billing information.
Refunds. If a Product did not offer a free trial on the date of your purchase on the Website, you may request a full refund of that purchase within 14 days of the purchase date by contacting support@parcse.com. Purchases of a Product that offered a free trial on the date of purchase are non-refundable, and this rule applies separately to each Product in an order. Parcse Supporter membership charges are non-refundable. A refunded purchase deactivates the licenses it paid for. Link may also issue refunds under its own refund policy, in some cases within 60 days of purchase. Purchases through a third-party store follow the refund policy that applies to that purchase in that store. Nothing in these Terms limits any refund, cancellation, or withdrawal right you have under applicable law.
Parcse Supporter
Parcse Supporter is a yearly membership that renews automatically until you cancel.
- Billing. You are charged the membership price shown at checkout when you join and again at the start of each new yearly period. The price includes applicable tax unless checkout states otherwise. We will tell you about a price change before the renewal it applies to, and you can cancel before it takes effect.
- Membership benefits. The benefits of the membership, including the Products and the number of Macs each license covers, are described on the Supporter page at the time of purchase. Licenses issued to you under the membership remain subject to these Terms after the membership ends.
- Cancellation. You can cancel at any time from your Link account at link.com, or contact support@parcse.com and we will cancel it for you. Cancellation stops future renewals and takes effect at the end of the current yearly period.
- Refunds. Membership charges, including renewals, are non-refundable, as described in the Refunds paragraph above.
Upto
Upto is sold on the Website under two plans: Upto Yearly and, for a limited time during its launch, Pay once. While Upto offers a free trial, you can try it before buying either plan.
- Upto Yearly. Upto Yearly is a subscription for up to five Macs that renews automatically every year until you cancel. You are charged the price shown at checkout when you subscribe and again at the start of each new yearly period. A subscription started during the launch offer renews at the same price for as long as it stays active. For a subscription started at another time, we will tell you about a price change before the renewal it applies to, and you can cancel before it takes effect.
- Cancellation. You can cancel Upto Yearly at any time from your Link account at link.com, or contact support@parcse.com and we will cancel it for you. Cancellation stops future renewals and takes effect at the end of the current yearly period. After that, your license still covers the builds of Upto released while your subscription was paid, so the version you have keeps working, but later updates and Upto Index stop until you subscribe again. An Upto license issued under Parcse Supporter follows the same rule when the membership ends.
- Pay once. Pay once is a one-time purchase of a Personal license for up to three Macs. It includes every update to Upto until the next major version and a discount on that next major version. After the next major version is released, Upto Index remains available for the builds of Upto the license covers, for as long as Parcse operates Upto Index.
- Refunds. While Upto offers a free trial, Upto purchases, including Upto Yearly renewals, are non-refundable, as described in the Refunds paragraph above.
- Upto Index. Upto Index is an online service included with an active Upto license and is not available during the trial. The versions it shows are shared by Macs running Upto, and we do not guarantee that they are accurate or complete. You may not send false information to Upto Index or interfere with its operation.
- Software from other developers. Upto finds, downloads, and installs updates published by other developers. Those apps, tools, and updates are provided by their developers under their own terms, and Parcse does not make or control them.
Discounts and Promotions
Discount codes, including education codes, are for the person they were issued to, may be used once unless stated otherwise, have no cash value, and expire at the time stated with the code. Unless stated otherwise, promotion deadlines refer to Pacific Time. If a code was obtained through false information, we may cancel it, and we may refund and deactivate a license bought with it.
Pre-release Builds
Beta builds, which you can choose in a Product's update settings, and alpha builds, which are offered to Parcse Supporter members, are pre-release software. They may contain errors, may lose or damage data, and may change or be withdrawn at any time. Use them only with data you have backed up.
Purchases Through Third-Party Stores
If you obtain a Product from the Mac App Store, Apple's Licensed Application End User License Agreement governs your license to that Product, and these Terms apply only to the extent they do not conflict with it. If you obtain a Product through Setapp or Gumroad, that store's terms govern your purchase, payment, and refunds, and these Terms govern your use of the Product. Device limits, features, and update timing may differ between stores.
Restrictions
You may not:
- Copy, modify, distribute, sublicense, sell, or lease any Product except as expressly permitted by these Terms or applicable law.
- Reverse engineer, decompile, or disassemble any Product except where applicable law does not allow that restriction.
- Remove, alter, or obscure any proprietary notices in any Product.
- Use the Website or any Product for any unlawful purpose or in violation of applicable export control, sanctions, or other laws.
Availability, Updates, and Support
Parcse may update, change, suspend, or discontinue the Website, any Product, or any related features at any time. Unless required by applicable law, Parcse has no obligation to provide maintenance, support, or continued availability.
Intellectual Property
All rights, title, and interest in the Website, the Products, and related content, code, branding, and materials are owned by Parcse or its licensors. Nothing in these Terms grants you any ownership rights beyond the limited license above.
Third-Party Components and Content
Our Products may include or depend on third-party open source components, and our Website and Products may reference or display third-party content or resources. Separate license terms or service terms may apply to those components and resources, and you must comply with them where applicable.
Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Website and all Products are provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Parcse does not warrant that the Website or any Product will be error-free, uninterrupted, or secure.
Some jurisdictions do not allow the exclusion of implied warranties or the limitation of certain damages, so some of the above may not apply to you. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, for fraud, or for gross negligence or willful misconduct, or any statutory rights you have as a consumer, including rights relating to digital content that is faulty or not as described.
Limitation of Liability
To the maximum extent permitted by law, Parcse shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, profits, revenue, or business, arising out of or related to your access to the Website or your use of any Product.
In no event shall Parcse's total aggregate liability arising out of or related to these Terms or your use of any Product exceed the greater of (a) the amounts you paid for the Product or Parcse Supporter membership giving rise to the claim in the twelve (12) months preceding the event giving rise to the claim, whether paid to Parcse, to Link, or to a third-party store, or (b) twenty US dollars (US$20).
Indemnification
To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Parcse and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of your breach of these Terms, your misuse of the Website or any Product, or your violation of any law or third-party rights.
Dispute Resolution
Before initiating any formal legal action, you agree to contact us at hello@parcse.com and attempt to resolve the dispute informally for at least fifteen (15) days.
To the extent permitted by applicable law, you and Parcse may bring claims against each other only in an individual capacity, and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding. This paragraph does not apply to consumers who live in the European Union or the United Kingdom.
Termination
These Terms remain in effect until terminated by you or Parcse. They terminate automatically if you fail to comply with them. Upon termination, you must stop using all Products and, where applicable, delete all copies in your possession or control. Termination does not entitle you to a refund of any fees already paid, except as required by applicable law or under the refund terms stated above.
Governing Law and Venue
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles. Subject to the next paragraph, any legal action arising under these Terms will be brought only in the state or federal courts located in Delaware, and you and Parcse consent to the personal jurisdiction of those courts. Either party may instead bring an individual claim in a small claims court that has jurisdiction.
If you are a consumer who lives in the European Union, the United Kingdom, or another country whose law gives consumers mandatory protections, you keep the protection of the mandatory provisions of the law of your country of residence, and you may bring proceedings in the courts of that country.
Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Parcse may assign its rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
Severability and No Waiver
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. Any failure by Parcse to enforce a provision of these Terms is not a waiver of its right to do so later.
Entire Agreement
These Terms, together with the Complimentary License Terms and any Product-specific terms presented at the time of purchase, constitute the entire agreement between you and Parcse regarding the subject matter herein and supersede all prior or contemporaneous understandings.
Changes
We may update these Terms from time to time. We will post revised Terms at this URL with a new date, and for material changes we will give reasonable advance notice, including by email to active Parcse Supporter members and Upto Yearly subscribers. Revised Terms apply from their effective date, do not apply to disputes that arose before that date, and do not reduce the rights that came with a license you already purchased. If you do not agree to revised Terms, you may stop using the Website and Products, and Supporter members and Upto Yearly subscribers may cancel before the next renewal.
