Scope
These Terms of Use ("Terms") govern your access to parcse.com (the "Website") and your use of any software applications published by PARCSE, LLC ("Parcse", "we", "us", or "our"), including but not limited to Looq, Mux, Ajar, and Tray (each, a "Product", and collectively, the "Products"). By accessing the Website or downloading, installing, or using any Product, you agree to these Terms. If you do not agree, do not use the Website or any Product.
Website Use
You may use the Website only for lawful informational and business purposes. You may not interfere with the operation of the Website, attempt to gain unauthorized access to it, or use site content in a manner that infringes our rights or the rights of others.
License
Each Product is licensed, not sold. Subject to these Terms and applicable law, Parcse grants you a limited, non-exclusive, non-transferable, revocable license to use the Product on devices you own or control and as otherwise permitted by the applicable usage rules.
Fees and Trials
Products may be offered under different pricing models, including free, time-limited trial, or one-time purchase. The applicable pricing, features, and limitations for each Product are described on the Website at the time of purchase.
- Free and Trial. Certain Products or features may be offered free of charge or with a time-limited trial. We reserve the right to modify, limit, or discontinue free or trial access at any time.
- One-Time Purchase. A one-time purchase grants you a perpetual license to the version of the Product available at the time of purchase. Access to future major versions may require a separate purchase.
Payments for direct purchases through our Website are processed by Stripe. You agree to provide accurate billing information. All fees are non-refundable except as required by applicable law or as otherwise stated at the time of purchase.
Restrictions
You may not:
- Copy, modify, distribute, sublicense, sell, or lease any Product except as expressly permitted by these Terms or applicable law.
- Reverse engineer, decompile, or disassemble any Product except where applicable law does not allow that restriction.
- Remove, alter, or obscure any proprietary notices in any Product.
- Use the Website or any Product for any unlawful purpose or in violation of applicable export control, sanctions, or other laws.
Availability, Updates, and Support
Parcse may update, change, suspend, or discontinue the Website, any Product, or any related features at any time. Unless required by applicable law, Parcse has no obligation to provide maintenance, support, or continued availability.
Intellectual Property
All rights, title, and interest in the Website, the Products, and related content, code, branding, and materials are owned by Parcse or its licensors. Nothing in these Terms grants you any ownership rights beyond the limited license above.
Third-Party Components and Content
Our Products may include or depend on third-party open source components, and our Website and Products may reference or display third-party content or resources. Separate license terms or service terms may apply to those components and resources, and you must comply with them where applicable.
Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Website and all Products are provided "as is" and "as available" without warranties of any kind, express or implied. Parcse does not warrant that the Website or any Product will be error-free, uninterrupted, secure, or fit for any particular purpose.
Limitation of Liability
To the maximum extent permitted by law, Parcse shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, profits, revenue, or business, arising out of or related to your access to the Website or your use of any Product.
In no event shall Parcse's total aggregate liability arising out of or related to these Terms or your use of any Product exceed the greater of (a) the amounts you paid to Parcse in the twelve (12) months preceding the event giving rise to the claim, or (b) twenty US dollars (US$20).
Indemnification
You agree to indemnify, defend, and hold harmless Parcse and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your violation of these Terms, your use of the Website or any Product, or your violation of any applicable law or third-party rights.
Dispute Resolution
Before initiating any formal legal action, you agree to contact us at hello@parcse.com and attempt to resolve the dispute informally for at least fifteen (15) days.
You and Parcse agree that any dispute arising under these Terms will be brought only in your individual capacity, and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding.
Termination
These Terms remain in effect until terminated by you or Parcse. They terminate automatically if you fail to comply with them. Upon termination, you must stop using all Products and, where applicable, delete all copies in your possession or control. Termination does not entitle you to a refund of any fees already paid, except as required by applicable law.
Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.
Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Parcse may assign its rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
Severability and No Waiver
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. Any failure by Parcse to enforce a provision of these Terms is not a waiver of its right to do so later.
Entire Agreement
These Terms, together with the Complimentary License Terms and any Product-specific terms presented at the time of purchase, constitute the entire agreement between you and Parcse regarding the subject matter herein and supersede all prior or contemporaneous understandings.
Changes
We may update these Terms from time to time. Revised Terms become effective when posted at this URL. Your continued use of any Product after the effective date of revised Terms constitutes acceptance of those Terms.
